This decline followed the release of the company's second-quarter financial results for fiscal year 2026, which showed an 8.9% year-over-year decrease in consolidated net sales and a significant GAAP diluted loss per share of $13.44. The lawsuit involving Varonis Systems claims the company made misleading statements about its ability to convert existing on-premise customers to its Software-as-a-Service (SaaS) platform. On October 28, 2025, Varonis announced third-quarter results that fell short of projections and lowered its full-year guidance. This news caused the company's stock to fall by nearly 49%.
