New Investor Lawsuits Target Varonis, Endeavor
A new wave of securities class action lawsuits is targeting several public companies, with investors given deadlines to join. Varonis Systems (VRNS) faces a March 9 deadline for a suit concerning its 2025 financial disclosures, while Endeavor Group Holdings has a March 18 deadline in a separate fraud case.
The class action against Varonis Systems alleges the company made misleading statements about its revenue and growth between February 4, 2025, and October 28, 2025. The lawsuit claims Varonis falsely represented its ability to grow its Annual Recurring Revenue (ARR) and smoothly transition existing on-premise customers to its Software-as-a-Service (SaaS) model. On October 28, 2025, Varonis announced third-quarter financial results that missed projections and lowered its full-year guidance. The company cited lower-than-expected renewals for its on-premise subscription business as a key reason for the shortfall. This news triggered a dramatic drop in Varonis's stock price, which fell nearly 49% the following day, wiping out approximately $3.8 billion in market capitalization. The Endeavor Group Holdings lawsuit, which covers investors who sold stock between January 15, 2025, and March 24, 2025, centers on allegations of securities fraud during its take-private merger. The complaint accuses Endeavor, its parent company Silver Lake, and top executives of a scheme to undervalue the company and harm public shareholders. Specific allegations against Endeavor include rejecting a "majority of the minority" vote on the merger and issuing a misleading Information Statement on January 15, 2025. The lawsuit claims these actions were designed to suppress the bargaining power of minority shareholders and lock in a merger price of $27.50 per share that benefited insiders.
