EU tweaks CSRD/CSDDD sustainability rules

The EU moved to simplify elements of CSRD and CSDDD while tightening some thresholds, reshaping how multinational firms report sustainability and manage ESG compliance. The change adjusts reporting burdens and could shift compliance workstreams for supply‑chain heavy companies. (acerbolivio.com)

Directive (EU) 2026/470 — the Omnibus I package amending CSRD and CSDDD — was published in the Official Journal on 26 February 2026 and entered into force on 18 March 2026. (dlapiper.com) The CSRD’s revised scope now targets undertakings with more than 1,000 employees and net turnover above €450 million, while non‑EU issuers are in scope only where an EU subsidiary/branch generated over €200 million and the ultimate parent had >€450 million turnover in the EU. (dlapiper.com) CSRD reporting timelines were reset so EU companies in scope must produce reports in 2028 based on financial‑year data starting on or after 1 January 2027, with non‑EU ultimate parents required to report in 2029 on FYs starting on or after 1 January 2028. (dlapiper.com) The CSDDD’s applicability thresholds were raised to firms with more than 5,000 employees and over €1.5 billion net worldwide turnover, and the Omnibus aligns all in‑scope entities to a single application date in July 2029. (cov.com) Member states must transpose the CSRD‑related amendments by 19 March 2027 and the CSDDD changes by 26 July 2028, with CSDDD obligations applying to companies from 26 July 2029. (bhr.ioe-emp.org) The text includes targeted reliefs: a transition exemption for “wave one” reporters, an exemption for certain EU and non‑EU financial holding companies from consolidated reporting, and an option to prioritise adverse‑impact assessments that involve direct business partners when multiple impacts are equally likely or severe. (consilium.europa.eu) The Commission must adopt the final ESRS delegated act in Q2 2026 and publish the first statutorily required CSDDD guidelines by July 2027, creating the implementation detail that firms will need to operationalize reporting and due‑diligence programs.
