La Rosa Holdings to Acquire AI Infra Firm

Real estate firm La Rosa Holdings Corp. has signed a letter of intent to acquire Consensus Core Technologies, an AI infrastructure company. Consensus Core has reportedly secured over 2 gigawatts of potential power capacity across North America, positioning it to capitalize on the growing demand for AI data centers.

The acquisition is structured as an all-equity exchange, meaning no cash will be paid by La Rosa. Upon completion, current La Rosa stockholders are expected to own just 3.10% of the combined company, with Consensus Core's equity holders owning the remaining 96.90%. This deal marks a significant strategic pivot for La Rosa, which has traditionally focused on residential real estate brokerage and PropTech. The company has recently been making moves into AI infrastructure, including a separate agreement to purchase land in Florida for a planned AI data center. This follows a period of financial difficulty, with the company experiencing significant cash burn and a 99% drop in its stock price over the past year. Consensus Core Technologies is an NVIDIA Cloud Partner, giving it access to the latest in GPU technology. The company's targeted 2 gigawatts of power are planned for strategic locations that include Texas, Manitoba, and the Maritimes in Canada. A single gigawatt-scale data center can require the power equivalent of a major city. The demand for such facilities is surging, with the total power load of data centers expected to nearly double from 82 gigawatts in 2025 to 153 GW in 2028, driven almost entirely by AI workloads. Following the acquisition, the Consensus management team will take the lead. The new board of directors will consist of five to seven members, with Consensus designating the majority, including the post-transaction CEO and Chairman.
