La Rosa Holdings to Acquire AI Infrastructure Firm
La Rosa Holdings Corp. has signed a letter of intent to acquire Consensus Core Technologies, an AI infrastructure company. Consensus Core has reportedly secured over 2 gigawatts of potential power capacity in North America, positioning the combined entity to capitalize on the surging demand for AI data centers.
The all-stock transaction will leave current La Rosa shareholders with approximately 3.1% of the combined company, while Consensus Core equity holders will own the remaining 96.9%. This move represents a major strategic pivot for La Rosa, which has traditionally operated in the residential and commercial real estate brokerage sector. Consensus Core Technologies operates as an NVIDIA Cloud Partner, providing a vertically integrated platform that covers the entire AI infrastructure stack, from energy procurement and data center construction to GPU deployment. The company's CEO is Wayne Lloyd, and its leadership team has collective experience in developing over $10 billion worth of data center projects. Following the acquisition, the leadership of the combined entity will shift significantly. Consensus will appoint the new Chief Executive Officer and Chairman of the Board, as well as the majority of the board directors. The deal is part of a broader strategy by La Rosa to enter the digital infrastructure space, which includes the recent elimination of $5.5 million in convertible debt and the acquisition of a development site in Florida for a proposed AI data center. The North American AI data center market was valued at over $55 billion in 2025 and is projected to grow significantly. This growth is driven by the massive power requirements of AI workloads, with a single gigawatt-scale data center costing billions and potentially consuming as much power as millions of homes. Reflecting market enthusiasm for the strategic shift into AI, shares of La Rosa Holdings (LRHC) surged over 25% following the announcement of the letter of intent.
