Otokar Acquires Romanian Defense Firm
Turkish defense manufacturer Otokar acquired Romania’s Automecanica as part of a long-term European expansion strategy. The acquisition positions Otokar to compete for Romania's Armored Tactical Battlefield Transport Unit program. This move highlights a trend of Turkish defense firms acquiring strategic assets within the EU to serve NATO-aligned markets directly.
- The acquisition is valued at an enterprise value of €87.8 million, with approximately €85 million for the 96.77% stake Otokar is purchasing. This move shifts Otokar from a joint venture partner to a direct industrial owner within the European Union, giving it greater control over production for a critical €857 million contract. - This deal is directly linked to a contract for 1,059 Cobra II 4x4 armored vehicles for the Romanian military, a deal valued at €857 million. Under the contract terms, 781 of these vehicles must be produced locally in Romania, making the acquisition of an in-country facility a strategic necessity. - The acquisition of Automecanica gives Otokar its first manufacturing site within the EU, allowing it to more effectively participate in EU-funded defense programs like SAFE (Security Action for Europe), which favor locally based production. This aligns with a broader trend of Turkish defense firms acquiring European companies, such as Baykar's purchase of Italy's Piaggio Aerospace and CANiK's acquisition of the UK's AEI Systems. - Otokar is moving from a 50-50 joint venture with Automecanica, called SAROM S.R.L., to direct ownership. This change indicates a strategic preference for tighter control over production schedules and compliance, potentially influenced by previous production milestone challenges. - Automecanica has a long history in the Romanian defense industry, having been established in its current form after the fall of communism from state workshops founded in 1941. The company has experience producing over 15,000 armored vehicles for both domestic and international clients. - The acquisition comes as European military spending is surging, with the continent's defense outlays expanding by 17% in 2024, the fastest of any region. This is driven by the war in Ukraine and new EU financial instruments like SAFE, which can provide up to €150 billion in loans for defense investments. - German defense giant Rheinmetall is also active at the same industrial site in Mediaș, having acquired a majority stake in a strategic spin-off of Automecanica in 2024 to produce military vehicles.
