Moderna to Pay $2.25B in Patent Settlement

Moderna has agreed to a massive $2.25 billion global settlement with Roivant's Genevant Sciences and Arbutus Biopharma. The deal resolves a major patent dispute over the lipid nanoparticle (LNP) delivery technology crucial to mRNA vaccines.

The core of the dispute revolved around lipid nanoparticles (LNPs), the microscopic fatty shells that protect fragile mRNA and deliver it into human cells—a critical component of mRNA vaccines. Arbutus and its licensee Genevant claimed their foundational patents for this delivery technology were infringed upon by Moderna in the creation of its Spikevax COVID-19 vaccine. Under the settlement, Moderna will make an initial payment of $950 million in July 2026. An additional $1.3 billion is contingent on the outcome of a separate legal appeal concerning whether Moderna is protected from liability for patent infringement on sales made under its government contracts. This agreement resolves all ongoing global litigation between the parties and crucially includes no future royalty payments from Moderna. This provides Moderna with more certainty for its future vaccine pipeline, including a combined COVID-flu shot. Investor reaction was largely positive for Moderna, with its stock rising over 10% in after-hours trading following the announcement. Analysts noted the settlement removes a significant legal and financial overhang, with the total payment being a relatively small fraction of Moderna's estimated $48 billion in past global vaccine sales. While this resolves a major chapter, the broader "mRNA patent wars" are far from over. Genevant and Arbutus are still pursuing a similar lawsuit against Pfizer and BioNTech over the LNP technology used in their Comirnaty vaccine. Furthermore, Moderna itself is engaged in separate patent infringement lawsuits against Pfizer and BioNTech concerning the fundamental mRNA technology. This complex web of litigation involves numerous other pharmaceutical companies, including GlaxoSmithKline and Alnylam, all seeking a share of the massive COVID-19 vaccine market.
