Exxon moving legal HQ to Texas after 144 years.
ExxonMobil is moving its legal headquarters from New Jersey to Texas, citing the state's business court and regulatory framework.
The move, recommended by the board, awaits a shareholder vote on May 27. If approved, ExxonMobil will legally return to Texas, where its operations have been based since 1989. Texas's pro-business environment, including modernized statutes and the Texas Business Court, played a key role in the decision. The Texas Business Court is designed to efficiently resolve complex disputes. Texas courts apply clear, statute-based standards, which ExxonMobil believes supports sound decision-making. CEO Darren Woods stated that Texas's embrace of the business community and understanding of ExxonMobil's business were important factors. Governor Abbott praised the decision, highlighting Texas's lack of "over-regulation". The redomiciliation won't affect ExxonMobil's business operations, management, strategy, assets, or employee locations. Shareholder rights under Texas law are considered comparable to or stronger than those in New Jersey. ExxonMobil does not plan to adopt any Texas provisions that would weaken shareholder rights. The move could shield ExxonMobil from legal action from activist investors, due to Texas state law. New Jersey previously sued ExxonMobil in 2022, alleging the company contributed to climate change. That suit was dismissed last year.
