Mister Car Wash Take-Private Deal Investigated
Law firm Kessler Topaz Meltzer & Check has launched an investigation into the proposed take-private transaction of Mister Car Wash (NASDAQ: MCW). The probe focuses on the company's board and its controlling stockholder, Leonard Green & Partners, L.P., over potential conflicts of interest in the deal.
The take-private deal values Mister Car Wash at approximately $3.1 billion. Majority stakeholder Leonard Green & Partners (LGP) will pay $7.00 per share in cash for the roughly 33% of shares it doesn't already own, a 29% premium over the stock's recent 90-day average price. LGP has a long history with the car wash operator, having first invested in 2014 and retaining a 67% stake after taking the company public in 2021. The move to delist from the Nasdaq marks a return to private ownership after what was described as a "disappointing spell in the public markets." Despite recently surpassing $1 billion in annual revenue for the first time in 2025, the company's stock price had fallen nearly 70% from its 2021 peak. While operational performance has been steady, the company faced intense competition and a high debt load, which impacted investor confidence. The investigation centers on whether the buyout price is fair to the minority shareholders who are being cashed out. Because LGP already holds a controlling stake, an affirmative vote from these minority stockholders is not required for the acquisition to proceed, raising concerns about potential conflicts of interest. A special committee composed of independent board members unanimously approved the transaction, with LGP-affiliated directors recusing themselves from the vote. Mister Car Wash CEO John Lai stated that going private will allow the company to "invest more boldly" in its stores, employees, and technology. The stated goal is to eventually triple the company's footprint from its current base of approximately 550 locations.
