New AI-Focused Crypto Firm to Trade on NYSE

The new entity, BlockchAIn Digital Infrastructure, will be led by its current CEO, Jerry Tang, an entrepreneur with a background in both engineering and finance. Prior to his ventures in digital infrastructure, Tang was a senior executive at the French investment bank Natixis, where he oversaw their commercial real estate business. The management of Signing Day Sports will remain, and the company will operate as a wholly-owned subsidiary of the newly formed AIB. This business combination is an all-equity exchange, meaning no cash is being paid to BlockchAIn Digital Infrastructure or its security holders. Upon completion of the merger, Signing Day Sports stockholders are expected to own approximately 8.5% of the new company, with BlockchAIn's equity holders owning the remaining 91.5%. The deal values the common stock to be paid to BlockchAIn's security holders at around $215.0 million. BlockchAIn Digital Infrastructure's primary asset is a 40-megawatt data center in South Carolina. In 2024, this facility generated approximately $22.9 million in revenue and $5.7 million in net income. The company's strategy is to leverage this existing infrastructure to meet the growing demand for AI and high-performance computing (HPC) workloads, which typically command higher revenue per megawatt than legacy uses like crypto mining. Looking ahead, the company is commissioning a new 150-megawatt crypto mining, AI, and HPC data hosting facility in Texas. This new site has a 34.5kV interconnection to the power grid and is expected to be activated in late 2026. The plan for this facility is to initially focus 100MW on internally owned crypto mining operations while dedicating the remaining 50MW to AI and HPC data hosting.
