La Rosa Holdings to Acquire AI Infra Firm

Real estate firm La Rosa Holdings Corp. has signed a letter of intent to acquire Consensus Core Technologies, an AI infrastructure company. Consensus Core claims to have secured over 2 gigawatts of potential power capacity across North America, positioning itself to capitalize on the surging demand for AI data centers.

La Rosa's move into AI infrastructure is a significant pivot from its traditional real estate brokerage model. The company has recently been focused on restructuring, which includes divesting non-core assets, eliminating $5.5 million in convertible debt, and even voluntary salary reductions for its CEO and COO. This acquisition signals a strategic shift towards sectors with the potential for recurring revenue. The proposed acquisition of Consensus Core Technologies is structured as an all-equity exchange. This means La Rosa will not be paying any cash for the AI firm. Upon completion, the current stockholders of La Rosa will own approximately 3.10% of the combined company, while Consensus Core's equity holders will own the remaining 96.90%. Consensus Core Technologies is not just a data center operator; it's an NVIDIA Cloud Partner that provides a vertically integrated AI infrastructure platform. The company builds and operates both the physical data centers and the advanced GPU cloud services that run within them. Their services include providing clients with access to NVIDIA's latest GPU technologies for AI and high-performance computing tasks. The leadership of the combined company will heavily favor Consensus Core. Their team will designate the new CEO and Chairman, as well as the majority of the board of directors. This suggests that the acquisition is more of a reverse merger, allowing the private AI infrastructure firm to go public and gain access to capital markets through La Rosa's existing listing. This deal follows La Rosa's recent agreement to purchase land in Osceola County, Florida, with the intent to build a Tier III AI data center. The acquisition of Consensus Core provides La Rosa with the technical expertise and industry partnerships to execute such projects. Consensus Core has already been involved in developing a hyperscale data center campus in Midwestern Canada. The 2-gigawatt power capacity figure is a significant indicator of the scale at which Consensus Core aims to operate. For context, a single gigawatt of power can be enough to power approximately 750,000 homes. This positions the company to compete for large-scale AI workloads, which are increasingly power-intensive.
