SKF to Rebrand Automotive Unit as 'SKF Vertevo'

Industrial manufacturing company SKF announced that its automotive business will be named SKF Vertevo when it becomes a stand-alone company. The move is part of a larger corporate strategy to separate its automotive and industrial businesses to allow each to focus on its respective markets and accelerate profitable growth.

- The planned separation, which is on track for a listing on Nasdaq Stockholm by mid-2026, is expected to incur approximately 1.5 billion Swedish kronor in charges. The parent company, SKF Group, will also undergo restructuring, resulting in about 5.0 billion Swedish kronor in charges between late 2025 and 2028. - The move is a response to differing market dynamics; in 2023, SKF's industrial segment reported an adjusted operating margin of 15.4%, while the automotive segment's was 5.6%. Post-separation, the remaining industrial business aims for a long-term adjusted operating margin of over 19%. - Activist investor Cevian Capital, which holds a 7.93% stake in SKF, was a key proponent of the spinoff, leading to a 10% jump in SKF's shares after the announcement. The largest shareholder by voting power is FAM AB, a Wallenberg family entity, with 29.1% of votes. - SKF Vertevo enters a challenging automotive supplier market characterized by stagnating global sales volumes, a slower-than-anticipated shift to electric vehicles, and intense price competition from Chinese manufacturers. Global EBIT margins for suppliers are projected to be around 4.7%, down from over 7% pre-pandemic. - The new entity will have to navigate significant geopolitical risks, including tariffs and trade barriers that are reshaping global supply chains. In response, SKF has been regionalizing its supply chains, increasing the localized ratio in Asia to 68% and the Americas to 69% in 2024 to mitigate these pressures. - As part of the transition, new leadership has been appointed; Olaf Henning, with previous experience at Mahle, Bosch, and Michelin, took over as the head of the global automotive aftermarket in late 2024. - The name 'Vertevo' is derived from the Latin "vertere" (to turn/transform) and "evo" (for evolution), meant to signify the company's heritage and future direction.
