La Rosa Holdings Corp. has signed a letter of intent to acquire AI infrastructure company Consensus Core Technologies. The target company claims to have secured over 2 gigawatts of potential power capacity, positioning the combined entity to capitalize on the explosive growth in demand for AI data centers.
The all-stock transaction will result in a massive dilution for La Rosa's current stockholders, who will own only about 3.1% of the combined entity. This reflects La Rosa's challenging financial position, with a market capitalization of just $540,000 prior to the announcement and a history of burning through cash. This acquisition marks a dramatic pivot for La Rosa, a firm historically focused on real estate services. The company's leadership, including CEO Joseph La Rosa, who has a background in real estate development, has recently signaled a strategic shift towards AI infrastructure, including other land acquisitions for data center development. Consensus Core Technologies is an NVIDIA Cloud Partner that provides high-performance computing infrastructure. The company is led by CEO Wayne Lloyd, a figure with a background in capital markets and technology entrepreneurship, having founded and led multiple tech companies. The deal is a reverse merger, a common strategy for a private company like Consensus Core to go public without the traditional IPO process. The new board will be heavily influenced by Consensus, which will designate the majority of the directors, as well as the post-transaction CEO and Chairman. Consensus has been actively securing power for its data center ambitions. It is a partner in a joint venture to develop a hyperscale data center campus in Manitoba, Canada, on approximately 350 acres of land. The company is also targeting locations in Texas and the Maritimes for expansion. The move into the capital-intensive data center industry is a significant gamble for La Rosa. The company's stock has been highly volatile, and general analyst ratings have been negative. This acquisition essentially transforms La Rosa into a new entity focused on a completely different sector, leveraging Consensus Core's expertise and assets.
