The move, subject to shareholder approval on May 27th, would shift ExxonMobil's legal home for the first time since its establishment as Standard Oil in New Jersey in 1882. Texas's attractiveness stems from its "modernized business statutes" and the creation of the Texas Business Court, designed for efficient resolution of complex disputes. Governor Abbott has emphasized that Texas offers freedom from over-regulation, fostering job growth and leadership. ExxonMobil has operated its headquarters in the Houston area since 1989, with approximately 30% of its employees located in Texas. The reincorporation is not expected to impact business operations, management, strategy, assets, or employee locations. Darren Woods, ExxonMobil's CEO, stated that Texas has made efforts to embrace the business community, creating a policy and regulatory environment that allows the company to maximize shareholder value. Aligning the legal home with the operating home in a state that understands the business is crucial.
