Frontera Energy Considers Unsolicited Takeover Bid

Canadian oil and gas firm Frontera Energy acknowledged it has received and is considering an unsolicited proposal from Parex Resources Inc. The offer is for all of Frontera's upstream Colombian exploration and production business, signaling potential consolidation in the South American energy sector.

- Parex Resources' all-cash offer is for US$500 million, plus the assumption of debt and a US$25 million contingent payment. This represents a US$125 million premium over a previous US$375 million agreement Frontera had made with GeoPark in January for the same assets. - The proposed acquisition would create the largest independent energy company focused on Colombia, combining the portfolios of the two Canadian firms. Parex and Frontera are already partners in the VIM-1 block in Colombia, giving Parex direct insight into Frontera's assets. - The assets in question include Frontera's 17 exploration and production blocks in Colombia, such as the Quifa and Cubiro fields, which produced an average of 38,934 barrels of oil equivalent per day in the third quarter of last year. - The unsolicited bid comes as Frontera faces financial headwinds, having reported a loss of $4.98 per share over the last twelve months with total debt around $535 million. - In response to the news of a competing, higher offer, Frontera Energy's shares rose by 21% to C$12.30. - If the sale is completed, Frontera plans to pivot its strategy to become a focused energy infrastructure company. Its remaining core assets would be its 35% stake in the Oleoducto de los Llanos Orientales (ODL) oil pipeline and the Puerto Bahia port. - The situation is further complicated by Parex's recent acquisition of an 11.8% stake in GeoPark, the original bidder for Frontera's assets. Parex has also nominated six independent directors to GeoPark's board, signaling a broader strategic push within the South American energy sector.
