Japanese Fintech PayPay Plans US IPO

Japanese fintech giant PayPay is planning a blockbuster US IPO, aiming to raise at least $1.1 billion at a $13.4 billion valuation. The deal is set to be one of the largest Japanese listings in the US in years and is seen as a bellwether for other Asian tech firms.

A joint venture launched in 2018 by SoftBank and Yahoo Japan, PayPay aggressively captured market share by initially waiving merchant fees and offering substantial cashback incentives to consumers. Following the IPO, SoftBank Group entities are expected to retain a commanding 91.8% voting stake, ensuring the fintech firm remains a consolidated subsidiary. The company has successfully transitioned from a high-growth, high-spend phase to profitability, first achieving a profit for the fiscal year ending in March 2025. For the nine months ending in December 2025, PayPay's operating profit more than doubled to 61 billion yen (approx. $387.2 million) on revenues of 278 billion yen. PayPay holds a dominant position in Japan's digital payments landscape, with 72 million registered users as of December 2025, which accounts for roughly 75% of the country's smartphone users. It commands an estimated 64% of the QR and barcode payment market. The offering has attracted significant institutional interest, with a unit of Qatar's sovereign wealth fund, a Visa subsidiary, and the Abu Dhabi Investment Authority indicating plans to purchase up to a combined $220 million in shares as cornerstone investors. The IPO is being managed by Goldman Sachs, JPMorgan, Mizuho, and Morgan Stanley. The listing is set to trade on the Nasdaq under the ticker "PAYP." While the IPO roadshow was briefly postponed due to market volatility stemming from geopolitical tensions in the Middle East, it has since resumed. This public offering aligns with parent company SoftBank's broader strategy of monetizing assets to finance its deep investments into artificial intelligence, including a multi-billion dollar commitment to OpenAI.
