La Rosa to Acquire AI Infrastructure Firm
La Rosa Holdings Corp. signed a letter of intent to acquire AI infrastructure company Consensus Core Technologies. Consensus has reportedly secured over 2 gigawatts of potential power capacity in North America, positioning it to capitalize on the massive energy demand for AI data centers.
La Rosa Holdings Corp., traditionally a real estate and PropTech firm, is pivoting to AI infrastructure, a move its CEO says is a strategic expansion into sectors with durable demand and scalable economics. This acquisition follows a recent agreement by La Rosa to acquire land for developing AI-oriented infrastructure, signaling a clear shift in the company's focus. Consensus Core Technologies, founded in 2017 and based in Vancouver, Canada, builds and operates the physical and digital infrastructure for the AI economy. As an NVIDIA Cloud Partner, it provides large-scale data center development and advanced GPU cloud services, with a full-stack ownership model that controls everything from facility construction to AI compute delivery. The proposed acquisition is an all-equity exchange, meaning no cash will be paid. Current La Rosa stockholders are expected to own approximately 3.10% of the combined entity, with Consensus equity holders owning the remaining 96.90%. The 2 gigawatts of power capacity Consensus has targeted is a massive figure, equivalent to the energy consumption of a major U.S. city or a full-scale nuclear reactor. This level of power is now seen as the new threshold for competitiveness in training large-scale AI models and is attracting billions in investment. This deal places the new entity in direct competition with hyperscalers who are also in a race to secure power for gigawatt-scale data centers. For perspective, Meta's largest AI training site has a capacity of 2 GW, and the company plans to bring 2 GW online in Louisiana by 2030, eventually scaling to 5 GW. Post-acquisition, Consensus Core Technologies will continue to operate under its existing management team. Consensus will also designate the new CEO and Chairman of the combined company's board.
