Onconetix to Acquire Humanoid Robot Maker Realbotix

Medical technology company Onconetix has announced an agreement to acquire Realbotix, a U.S.-based company specializing in AI-powered humanoid robots. The acquisition highlights the strategic value of embodied AI for applications in both consumer and healthcare robotics. The move signals continued M&A activity as established companies seek to build out their robotics capabilities.

- The deal is structured as an all-stock reverse merger where Realbotix, LLC will become a wholly-owned subsidiary of Onconetix. Following the transaction, the parent company of Realbotix is expected to own between 75% and 90% of the combined entity, which will continue to trade on Nasdaq and operate under the Realbotix name. - This acquisition marks a significant strategic pivot for Onconetix, which has a background as a biotechnology company focused on men's health and oncology, into the AI-powered humanoid robotics sector. The company's CEO will be replaced by Realbotix Corp CEO Andrew Kiguel. - Realbotix has its origins in Abyss Creations, a company founded in the 1990s known for producing hyper-realistic silicone dolls. It has since evolved to focus on creating customizable, AI-powered humanoid robots for applications in entertainment, customer service, healthcare, and companionship. - Realbotix's technology includes a patented AI-Vision system, multilingual capabilities, and the integration of third-party large language models, enabling its robots to be autonomous and not require human teleoperation. The company showcased fully autonomous robot-to-robot conversations at CES 2026. - The parent corporation of the acquired subsidiary, Realbotix Corp., was formerly known as Tokens.com Corp. and rebranded in July 2024 after acquiring Realbotix's parent company, Simulacra, shifting its focus from cryptocurrency to AI and robotics. - The acquisition is part of a broader trend of M&A activity in the robotics and AI space, as companies seek to acquire advanced technology and talent. Other recent notable deals in the humanoid robotics sector include Mobileye's acquisition of Mentee Robotics. - Onconetix has faced financial challenges, with reports citing significant operating losses and negative profitability metrics leading up to the acquisition announcement. The deal includes a condition for Onconetix to have a minimum of $12.5 million in net cash. - Realbotix separates its business into two main areas: a B2B focus on customer service, hospitality, and healthcare through the acquired LLC, and a direct-to-consumer business for adult companionship and wellness, which remains with the original parent company, Abyss Creations.
