The deal is being led by private equity firms Searchlight Capital Partners and Abry Partners, with General Atlantic also involved. General Atlantic has been a long-time strategic partner of European Wax Center, holding a significant stake in the company since 2018. Multiple law firms, including Ademi LLP, are investigating the deal for potential breaches of fiduciary duty to public shareholders. A central question is whether the board of directors conducted a fair process to secure the best possible price for the company. One point of contention is the valuation. While the offer provides a premium on the recent stock price, at least one analyst had a price target of $15.00 per share for European Wax Center, significantly higher than the $5.80 offer. Investigators are also scrutinizing "substantial benefits" that insiders of European Wax Center may receive as part of the deal's change of control arrangements. The merger agreement also includes provisions that could limit competing offers. Specifically, a $6.6 million termination fee would be imposed if European Wax Center were to accept a superior bid from another party.
