ExxonMobil's board unanimously supports moving its legal domicile from New Jersey to Texas, signaling confidence in the state's energy sector amid geopolitical tensions reported.

The move aligns ExxonMobil's legal structure with its operational headquarters in Spring, Texas, where it has been based since 1989. Approximately 30% of ExxonMobil's global workforce and 75% of its U.S. workforce are located in Texas. Texas' business-friendly legal environment, including modernized statutes and a specialized business court, played a significant role in the decision. The Texas Business Court is designed to resolve complex disputes efficiently, applying clear, statute-based standards. This is seen as a way to potentially shield the company from legal action and shareholder litigation. Shareholders will vote on the proposal at the annual meeting on May 27, 2026. If approved, the redomiciliation will not affect ExxonMobil's business operations, management, strategy, assets, or employee locations. The company also stated that shareholder rights under Texas law are comparable to or stronger than those in New Jersey. Texas Governor Greg Abbott has already praised the move, emphasizing the state's commitment to a business-friendly environment. Other companies like Tesla, SpaceX, and Coinbase have also redomiciled in Texas in recent years, drawn by the state's favorable corporate landscape.
