EQB Cleared to Acquire PC Financial

EQB Inc. has received clearance from Canada's Competition Bureau for its acquisition of PC Financial from Loblaw. The deal marks a major regulatory milestone for the self-proclaimed "Challenger Bank" as it seeks to expand its scale and product offerings.

The acquisition is valued at an estimated $800 million, structured as a combination of cash and 7.2 million common shares issued to a Loblaw subsidiary. This arrangement will make Loblaw a significant minority shareholder in EQB, holding a stake of at least 17% upon the deal's closing. Before the transaction is finalized, Loblaw is also set to receive approximately $500 million of excess capital from PC Bank. This deal significantly expands EQB's scale, boosting its assets by $5.8 billion and its direct retail deposits by over $800 million. A key component of the acquisition is the PC Mastercard portfolio, which brings over two million active accounts and establishes EQB as a major player in the Canadian credit card market. The total customer base of the combined banking entity will exceed three million. A central part of the agreement is a long-term partnership making EQ Bank the exclusive financial services partner for the PC Optimum loyalty program. Loblaw will retain ownership and operation of the popular rewards program, which has more than 17 million members. The integration is expected to create one of the largest loyalty-based banking platforms in Canada. The acquisition is anticipated to be mid-single digit accretive to EQB's adjusted earnings per share in the first full year after closing. For customers, the deal will eventually see the PC Financial brand transition to EQ Bank. This will give existing PC Financial customers access to a wider array of digital banking products, while EQ Bank clients will benefit from the addition of credit cards and in-person services at around 2,500 Loblaw-owned stores.
