La Rosa Holdings to Acquire AI Infrastructure Firm
La Rosa Holdings Corp. has signed a non-binding letter of intent to acquire Consensus Core Technologies, an AI infrastructure company. Consensus Core claims to have secured over 2 gigawatts of potential power capacity across North America to meet the growing demand for AI data centers.
This acquisition marks a significant strategic pivot for La Rosa Holdings, a real estate and PropTech company, as it moves into the high-growth sector of AI infrastructure. The all-equity deal will be heavily dilutive to current La Rosa stockholders, who are expected to own only about 3.10% of the combined company. This move follows a period of financial difficulty for La Rosa, which has a market capitalization of approximately $540,000. The new combined entity will be led by the existing management team of Consensus Core Technologies, with their CEO, Wayne Lloyd, slated to become the CEO and Chairman of the board of the new company. La Rosa will designate two directors to the new board, which will consist of five to seven members. Consensus Core Technologies is a Canadian-based provider of AI cloud services and high-performance GPU infrastructure. As an NVIDIA Cloud Partner, the company is focused on developing data centers with access to low-cost power. Their expertise is further demonstrated by their joint venture with Jet.AI to develop a hyperscale data center campus in Midwestern Canada. The deal gives La Rosa control of Consensus Core's targeted 2 gigawatts of potential power capacity across North America, including locations in Manitoba, the Maritimes, and Texas. This capacity is critical in the current market, where the demand for power-intensive AI data centers is rapidly growing. Consensus Core's strategy focuses on building the "physical backbone of the AI economy" by securing large-scale power in strategic locations.
